1. Introduction and Acceptance

Welcome to Thrive Ryde LLC ("Thrive Ryde," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our peer-to-peer vehicle rental marketplace platform, website, mobile applications, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Service.

Important: Thrive Ryde is a technology platform that connects vehicle owners with drivers who need vehicles for use with transportation network companies or delivery services. We do not own vehicles for rent and are not a party to rental agreements between users.

2. Eligibility and Account Registration

2.1 Eligibility Requirements

To use our Service, you must:

  • Be at least 18 years old
  • Have a valid driver's license
  • Be legally authorized to enter into contracts
  • Provide accurate and complete information
  • Pass our background check and verification process
  • Maintain active accounts with approved rideshare or delivery companies (for drivers)

2.2 Account Responsibilities

You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Keeping your account information current and accurate
  • Notifying us immediately of any unauthorized use

3. Platform Services

3.1 Marketplace Platform

Thrive Ryde provides a technology platform that enables vehicle owners to list their vehicles for rent and drivers to find and rent vehicles. We facilitate connections but do not own vehicles or control the terms of individual rental agreements.

3.2 Services We Provide

  • Vehicle listing and search functionality
  • User verification and background checks
  • Payment processing and transaction management
  • Insurance coordination and claims processing
  • Customer support and dispute resolution
  • GPS tracking and telematics services

3.3 Services We Do Not Provide

  • Vehicle ownership or direct rental services
  • Guarantees about vehicle condition or availability
  • Control over individual rental terms or pricing
  • Primary insurance coverage (we coordinate coverage)

4. User Responsibilities

4.1 Vehicle Owners

As a vehicle owner, you must:

  • Maintain valid registration, insurance, and inspection for your vehicle
  • Ensure your vehicle is safe and roadworthy
  • Provide accurate vehicle information and photos
  • Verify driver identity and license before releasing your vehicle
  • Install and maintain required telematics devices
  • Report any damage or incidents within 24 hours
  • Comply with all applicable laws and regulations

4.2 Drivers

As a driver, you must:

  • Have a valid driver's license and clean driving record
  • Use vehicles only for approved rideshare or delivery purposes
  • Return vehicles on time and in the same condition
  • Pay all rental fees, deposits, and additional charges
  • Report any accidents or incidents immediately
  • Not tamper with or disable telematics devices
  • Follow all traffic laws and rental agreement terms

5. Prohibited Uses

You may not use our Service to:

  • Violate any laws, regulations, or third-party rights
  • Engage in fraudulent or deceptive practices
  • Use vehicles for illegal activities or unauthorized purposes
  • Discriminate against users based on protected characteristics
  • Interfere with the operation of our platform
  • Circumvent our security measures or access controls
  • Collect or harvest user information without consent
  • Post false, misleading, or inappropriate content

6. Payments and Fees

6.1 Platform Fees

We charge service fees for using our platform. These fees are clearly disclosed before you complete a transaction and may include:

  • Transaction processing fees
  • Insurance and protection plan fees
  • Administrative service fees
  • Late payment fees
  • Damage assessment and claims processing fees

6.2 Payment Terms

  • All payments are processed through our secure payment system
  • You authorize us to charge your payment method for all applicable fees
  • Security deposits may be required and will be held until rental completion
  • Late payments incur additional fees as specified in rental agreements
  • Disputed charges must be reported within 30 days

7. Insurance and Protection

7.1 Insurance Coverage

Insurance coverage during rentals is provided through a combination of:

  • Vehicle owner's personal insurance
  • Thrive Ryde's commercial insurance policy
  • Rideshare company insurance (when applicable)

7.2 Coverage Limitations

Insurance coverage is subject to policy terms and conditions. Coverage may be void if:

  • Vehicles are used for unauthorized purposes
  • Drivers violate rental agreement terms
  • Fraudulent activity is detected
  • Required telematics devices are tampered with
  • Incidents are not reported within required timeframes

8. Dispute Resolution

8.1 Binding Arbitration

Any dispute arising out of or relating to these Terms or your use of our Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

8.2 Arbitration Procedures

  • Claims under $25,000 will be heard by a single arbitrator
  • Claims of $25,000 or more will be heard by a panel of three arbitrators
  • Arbitration will take place in the state where the vehicle is registered
  • Hearings must occur within 90 days of filing
  • Awards must be rendered within 90 days of hearings

8.3 Class Action Waiver

YOU AGREE THAT DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS AND YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS, CLASS ACTION ARBITRATIONS, OR OTHER REPRESENTATIVE ACTIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our liability is limited to the amount you paid for the specific transaction
  • We are not liable for indirect, incidental, or consequential damages
  • We do not guarantee the availability, condition, or safety of vehicles
  • We are not responsible for the actions or omissions of platform users
  • Our insurance coordination does not create additional liability

10. Indemnification

You agree to indemnify, defend, and hold harmless Thrive Ryde, its officers, directors, employees, and agents from and against any claims, damages, losses, or expenses arising from your use of our Service, violation of these Terms, or violation of any rights of another party.

11. Termination

We may suspend or terminate your account and access to our Service at any time, with or without cause, and with or without notice. Upon termination, your right to use our Service will cease immediately.

Sections relating to indemnification, limitation of liability, dispute resolution, and other provisions that by their nature should survive will remain in effect after termination.

12. Modifications to Terms

We may modify these Terms at any time by posting updated Terms on our website. Your continued use of our Service after any modifications constitutes acceptance of the updated Terms.

13. Governing Law
